Terms of Service

1. Agreement to Terms

By accessing or using Laminir ("Service," "Platform," "we," "our," or "us") at laminir.com, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users of the Service, including subscribers and those participating in a pilot arrangement.

2. Description of Service

Laminir provides weekly commercial intelligence software for retail executive teams. The Service ingests trading data, inventory position, and go-to-market context to deliver structured decision-ready briefs and agent outputs. The Service includes:

• Weekly commercial intelligence briefs (Pulse) synthesising quarter position, trading performance, GTM calendar, inventory position, and strategic goals
• Data input via structured upload templates, and via Shopify API connection where enabled
• AI-assisted analysis, cross-lever synthesis, and longitudinal intelligence tracking
• Ground agents — decision-support tools that surface recommendations for human approval, deferral or override
• Strategic initiative and accountability tracking
• Dashboard access (plan-dependent)

Features and modules vary by plan, and some modules are in active development. The Service as delivered to you is the Service as it exists at the time of use.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Not create an account for fraudulent or unlawful purposes

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

4. Subscription Plans and Billing

4.1 Subscription Tiers

Laminir offers subscription tiers based on your business scale, channel mix, and the modules required. Current pricing is provided on request through laminir.com/get-started. Pricing is subject to change in accordance with section 4.5.

4.2 Billing Cycles

Subscriptions are available on monthly and annual billing cycles. Annual subscriptions are billed for ten months across a twelve-month term.

4.3 Payment Processing

Payments are processed by a third-party payment provider. By providing payment information, you authorise us to charge your payment method for all fees incurred. We do not store card details on our systems.

4.4 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled. You will be charged at the then-current rate for your subscription tier.

4.5 Price Changes

We may change subscription prices with 30 days' notice. Price changes take effect at your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new price.

5. Cancellation and Refunds

5.1 Cancellation Policy

You may cancel your subscription at any time with no penalty or cancellation fee by contacting us at hello@laminir.com. Upon cancellation:

• You retain access until the end of your current billing period
• No refund is provided for the unused portion of the billing period, except as set out in 5.2
• Your subscription will not automatically renew
• You can export your data before the end of the billing period

5.2 First Month Refund

For new subscriptions, the first month is refundable. If the Service does not deliver value in your first month, contact us at hello@laminir.com within 30 days of your first payment and we will refund that payment in full. This applies once per customer.

5.3 Data After Cancellation

Upon cancellation, your data is retained for 30 days, after which it is permanently deleted. You can request earlier deletion by contacting privacy@laminir.com.

5.4 Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you may have under the Australian Consumer Law or other applicable law that cannot lawfully be excluded.

6. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal or unauthorised purpose
• Violate any laws in your jurisdiction
• Infringe the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to the Service or its systems
• Interfere with or disrupt the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorisation
• Share your account credentials with unauthorised parties
• Upload false, misleading, or fraudulent information

Violation of this policy may result in immediate suspension or termination of your account.

7. Intellectual Property Rights

7.1 Laminir's Rights

The Service, including all content, features, and functionality, is owned by Laminir and protected by copyright, trademark, and other intellectual property laws. This includes:

• Software code, algorithms, and analytical methodology
• User interface design
• Laminir branding and trademarks
• Documentation and materials

7.2 Your Data Rights

You retain all rights to the business data you upload to or connect via the Service. By using the Service, you grant us a limited licence to:

• Access and process your data via authorised integrations to provide the Service
• Process your uploaded data to provide the Service
• Store your data on our infrastructure and that of our sub-processors
• Generate briefs, agent outputs, and analysis based on your data

We do not use your data to train AI models, and we do not use one customer's data to produce outputs for another.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without compensation or attribution.

8. AI Processing and Accuracy

8.1 AI-Generated Content

The Service uses artificial intelligence to analyse data and generate commercial intelligence outputs including briefs, agent recommendations, and strategic summaries. While we take care with accuracy, AI-generated content may contain errors. You are responsible for:

• Verifying the accuracy of outputs before acting on them
• Making your own informed business decisions
• Not relying solely on the Service as the basis for critical business or financial decisions

8.2 Accuracy of Input Data

Outputs are only as accurate as the data provided. You are responsible for the accuracy and completeness of data you upload or connect, including forecasts, targets and calendar information. We are not liable for outputs derived from inaccurate or incomplete input data.

8.3 No Guarantee of Results

Laminir provides decision support, not guaranteed outcomes. We do not guarantee:

• Specific business results or financial performance
• Complete accuracy of analysis, recommendations, or agent outputs
• Prevention of business risks or losses

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Warranty

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Results obtained will be accurate or reliable

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAMINIR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited, including under the Australian Consumer Law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Laminir, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Data you upload to or connect via the Service

11. Service Modifications and Termination

11.1 Changes to Service

We may modify, suspend, or discontinue any part of the Service. We will give reasonable notice of any change that materially reduces functionality you are paying for.

11.2 Termination by Laminir

We may terminate or suspend your account immediately, without notice, if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay subscription fees
• Pose a security risk to the Service

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Western Australia, Australia, without regard to conflict of law provisions. You submit to the non-exclusive jurisdiction of the courts of Western Australia.

12.2 Dispute Resolution

Any dispute arising from these Terms or the Service will first be raised in writing and addressed through good faith negotiation. If the dispute is not resolved within 30 days, either party may pursue available legal remedies.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or prominent notice on the Service at least 30 days before taking effect. Your continued use after changes take effect constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must cancel your subscription before the changes take effect.

14. Severability and Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any written pilot or subscription agreement between us, constitute the entire agreement between you and Laminir regarding the Service and supersede all prior agreements.
