1. Agreement to Terms

By accessing or using Laminir ("Service," "Platform," "we," "our," or "us") at laminir.com, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users, including both free trial users and paid subscribers.

2. Description of Service

Laminir provides retail intelligence and predictive analytics software designed to help retail businesses analyze performance data, forecast trends, and make informed strategic decisions. The Service includes:

• Data upload and integration capabilities
• AI-powered analysis and reporting
• Predictive intelligence and trend detection
• Strategic decision support tools
• Weekly intelligence reports

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Not create an account for fraudulent or unlawful purposes

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

4. Subscription Plans and Billing

4.1 Subscription Tiers

Laminir offers multiple subscription tiers:

• Micro ($99/month): For online-only DTC brands
• Starter ($250/month): For businesses with $1M-$5M annual revenue
• Growth ($750/month): For businesses with $5M-$50M annual revenue
• Enterprise ($1,800+/month): For businesses with $50M+ annual revenue

4.2 Billing Cycles

Subscriptions are available on both monthly and annual billing cycles. Annual subscriptions receive a discount compared to month-to-month pricing.

4.3 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred. We do not store credit card information on our servers.

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled. You will be charged at the then-current rate for your subscription tier.

4.5 Price Changes

We may change subscription prices with 30 days' notice. Price changes will take effect at your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new price.

5. Cancellation and Refunds

5.1 Cancellation Policy

You may cancel your subscription at any time with no penalties or cancellation fees. Upon cancellation:

• You retain access until the end of your current billing period
• No refund will be provided for the unused portion of the billing period
• Your account will not automatically renew
• You can export your data before the end of the billing period

5.2 Money-Back Guarantee

We offer a 14-day money-back guarantee for new subscriptions. If you are not satisfied within the first 14 days, contact us at hello@laminir.com for a full refund.

5.3 Data After Cancellation

Upon cancellation, your data will be retained for 30 days, after which it will be permanently deleted. You can request early deletion by contacting privacy@laminir.com.

6. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or systems
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization
• Share your account credentials with unauthorized parties
• Upload false, misleading, or fraudulent information

Violation of this policy may result in immediate suspension or termination of your account.

7. Intellectual Property Rights

7.1 Laminir's Rights

The Service, including all content, features, and functionality, is owned by Laminir and is protected by copyright, trademark, and other intellectual property laws. This includes:

• Software code and algorithms
• User interface design
• Laminir branding and trademarks
• Documentation and materials

7.2 Your Data Rights

You retain all rights to the business data you upload to the Service. By using the Service, you grant us a limited license to:

• Process your data to provide the Service
• Store your data on our secure servers
• Generate reports and analysis based on your data

We do NOT use your data to train AI models that benefit other customers. Your data remains confidential and isolated.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use this feedback without compensation or attribution.

8. AI Processing and Accuracy

8.1 AI-Generated Content

The Service uses artificial intelligence to analyze data and generate insights. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for:

• Verifying the accuracy of AI-generated insights
• Making your own informed business decisions
• Not relying solely on AI recommendations for critical decisions

8.2 No Guarantee of Results

Laminir provides decision support tools, not guaranteed outcomes. We do not guarantee:

• Specific business results or financial performance
• 100% accuracy of predictions or forecasts
• Prevention of all business risks or losses

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Warranty

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Results obtained will be accurate or reliable

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAMINIR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Laminir, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your data uploaded to the Service

11. Service Modifications and Termination

11.1 Changes to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuance.

11.2 Termination by Laminir

We may terminate or suspend your account immediately, without notice, if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay subscription fees
• Pose a security risk to the Service

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with Australian arbitration rules.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on the Service at least 30 days before taking effect. Your continued use after changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must cancel your subscription before the changes take effect.

14. Severability and Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Laminir regarding the Service and supersede all prior agreements.
